PUBLIC NOTICE OF UCC SALE: JP INTERNET VENTURES, LLC

NOTICE IS HEREBY GIVEN, that pursuant to Section 9-610 of the Uniform Commercial Code (the “UCC”), as adopted in the State of Illinois and any other applicable jurisdictions, and any other applicable law, NuMed Partners, LLC (the “Secured Party”) will offer for sale to the public (the “Auction”) all of the right, title, and interest of JP Internet Ventures, LLC, a Nevada limited liability company (the “Debtors”) in and to Products JP, LLC, a Nevada limited liability company, and in a License and Transfer Agreement dated November 17, 2017, by and between Debtor and Products JP, LLC (collectively, the “Assets”). The Assets include an exclusive license held by the Debtor to use the trademark “POT.COM” and the internet domain names “pot.com”, “pot.cc”, “pot.directory”, “pot.email”, “pot420.club”, “pot420.com”, “pot420news.com”, “420cannabiscommunity.com”, and “420communitypot.com”, and all associated internet domain name services and capabilities, including email hosting, as forth in detail in the License and Transfer Agreement.

Debtor has granted a security interest in all of the Assets to the Secured Party to secure Debtor’s obligations to the Secured Party. The Assets are being sold on an “AS IS, WHERE IS” basis pursuant to the terms and conditions set forth below.

Persons who wish to attend the auction must register in advance by contacting Patrick Brady (see contact information below) by email or telephone no later than 3:00 p.m. (US Central time) on July 20, 2021, whereupon remote or telephonic attendance will be arranged.

TERMS AND CONDITIONS OF THE AUCTION

The Assets will be offered and sold to the bidder with the highest or otherwise best bid for the Assets determined by the Secured Party at the Auction. Unless otherwise agreed by the Secured Party in advance, to participate at the Auction, each potential bidder must demonstrate, prior to the commencement of the Auction, to the satisfaction of the Secured Party that each such bidder has the financial means to close on any bid made at the Auction. The Secured Party reserves the right to cancel, postpone or adjourn the Auction by announcement made at the Auction, either before or after the commencement of bidding, without written notice or further publication. In addition, the Secured Party reserves the right to bid for and purchase the Assets and to credit the purchase price against the expenses of sale and principal, interest and any and all other amounts due and payable to the Secured Party pursuant to the terms of any and all indebtedness secured by the security interests in the Assets. The Secured Party reserves the right to implement such other terms and conditions at the Auction as the Secured Party, in its sole discretion, determines to be commercially reasonable under the circumstances.

A Dropbox folder has been created in which copies of the License and Transfer Agreement dated November 17, 2017, by and between Debtor and Products JP, LLC, and other documents related to the Assets have been deposited for viewing by interested bidders prior to the Auction. Registered bidders will be provided a link to view the contents of the folder.
