PUBLIC NOTICE OF UCC ARTICLE 9 SALE: Contractor Sales & Services, LLC

NOTICE OF UCC ARTICLE 9 SALE

1. Executive Summary. MRP Trading I A, LLC (the “Secured Party”) will conduct, though Ritchie Bros. Auctioneers, Inc. (“Ritchie Bros.”), on December 11, 2025, or such later date as provided below, a disposition of the below-described Property (the “Disposition of Collateral”).

2. Debtor. The debtor is Contractor Sales & Services, LLC (the “Debtor”). The Debtor owns and operates an aerial equipment rental and services company in Des Moines, Iowa.

3. Secured Party. MRP Trading I A, LLC.

4. Agreements and Legal Authority Pursuant to Which the Sale Is Held. Pursuant to a Pledge and Security Agreement, dated as of October 1, 2024 (the “Security Agreement”), the Debtor granted to the Secured Party a security interest in substantially all its assets to secure the obligations (the “Obligations”) under that certain Second Amended and Restated Revolving Credit and Term Credit Agreement dated as of March 1, 2019 (the “Credit Agreement”) between the Secured Party, Canary LLC, and certain of Canary LLC’s subsidiaries and affiliates.

The foregoing documents, along with any other documents related thereto, are collectively referred to as the “Loan Documents.” The Disposition of Collateral is taking place in accordance with the Loan Documents and the provisions of the Uniform Commercial Code, Section 9-101 et seq. (the “UCC”) as a result of certain defaults by the Debtor and other obligors under the Loan Documents.

5. Date, Manner and Terms of Disposition of Collateral. Ritchie Bros. will conduct the Disposition of Collateral through an unreserved live auction set to begin on December 11, 2025, via Ritchie Bros.’ website at https://www.rbauction.com/ (the “Live Auction”). Please note that this date is tentative and is subject to change. The Secured Party has a first-priority security interest in the Property. The total amount of Obligations due to the Secured Party as of November 17, 2025, is $59,342,899.02. The Property, or any parts thereof, will be sold free and clear of the liens of the Secured Party and any subordinate security interests in the Property.

Please be advised that the Secured Party reserves the right to credit bid, and may credit bid, at the Live Auction. The Secured Party reserves the right to alter the Disposition of Collateral procedures.

6. Description of Property to Be Sold. The property to be sold through the Disposition of Collateral consists of Equipment (as defined in UCC § 9-102 ) owned by the Debtor (the “Property”). Additional details regarding the Property and related documents can be obtained by contacting the Secured Party as indicated herein.

7. No Warranties. The Property will be sold “AS IS, WHERE IS,” “WITH ALL FAULTS,” and “WITHOUT ANY WARRANTIES WHATSOEVER, EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, A WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR OR OTHER PURPOSE,” and subject to taxes, special assessments and liens that have been levied or assessed, and/or are unpaid or unsatisfied (none of which will be paid by the Secured Party). The Property is being sold without recourse to the Secured Party, or its attorneys or representatives, including Ritchie Bros. The Secured Party does not claim title to the Property being sold hereunder and disclaims any warranty of title, possession, quiet enjoyment, and the like in the sale.

The Secured Party makes no representations or warranty as to (i) the Property’s state or condition of title, (ii) the Property’s physical, financial, or environmental condition, (iii) the existence, validity, or amount of any liens or claims as to the Property senior or pari passu to that of the Secured Party, or (iv) the value of or income produced or that may be produced by the Property. Further, the Live Auction is subject to the terms and conditions of Ritchie Bros.

8. Postponement or Cancellation of Disposition of Collateral. The Live Auction may be postponed or cancelled. In such event, an announcement will be made by the Secured Party.
