PUBLIC NOTICE OF ABC SALE: Platform Asset Holdings, LLC and Related Companies


PLEASE TAKE NOTICE that, on September 12, 2022, Joseph J. Luzinski, assignee (the “Assignee”) filed petitions with the Circuit Court of the Fifteenth Judicial Circuit, Palm Beach County, Florida (the “Court”) commencing assignment for the benefit of creditors cases for the following entities: Platform International, LLC (Case No. 50-2022-CA-008917); Platform Asset Holdings, LLC (Case No. 50-2022-CA- 008927); Platform CA Operations, LLC (Case No. 50-2022-CA-008928); Platform FL Operations, LLC (Case No. 50-2022-CA-008929); Platform Holdings, LLC (Case No. 50-2022-CA-008932); Platform NY Operations, LLC (Case No. 50-2022-CA-008934); and Platform Operations, LLC (Case No. 50-2022-CA-008935) (collectively, the “Assignment Cases”).

PLEASE TAKE FURTHER NOTICE that, as further detailed below, the Assignee is seeking to sell all or substantially all of the assets assigned to Assignee by the above-referenced Assignors.

PLEASE TAKE FURTHER NOTICE that, on October 27, 2022, the Assignee filed with the Court a notice and motion (the “Sale Motion”), seeking among other things, approval by the Court for the Assignee to sell, pursuant to a Purchase and Sale Agreement executed October 27, 2022 (the “PSA”) by and between the Assignee and Struct Productions, LLC, a Florida limited liability company (the “Buyer”), the Purchased Assets (as defined in the Sale Motion and the PSA), free and clear of all liens, claims, interests, and encumbrances, to the Buyer in exchange for $55,000 in cash payable at the closing of the sale (the “Sale”), subject to higher and better offers. The PSA was filed with the Court as Exhibit A to the Sale Motion. The Sale Motion contains certain bidding procedures in connection with the Sale (the “Bidding Procedures”). Any buyer interested in making an offer to purchase the Purchased Assets must make a “Qualifying Bid” in accordance with the Bidding Procedures no later than 4:30 p.m. on November 17, 2022.

PLEASE TAKE FURTHER NOTICE that the Purchased Assets include, but are not limited to: Wall panels, electric panels, door panels, trussing, light fixtures, wall washers, electrical tracks, extension cords, equipment cages, light bulbs, scaffolding, ladders, pallet jacks, bracketing, hammers, drills, tape, other related equipment and materials, and intellectual property.

PLEASE TAKE FURTHER NOTICE that, in the event one or more Qualifying Bids are received by the Assignee, an auction will be held at a time and place TBD by the Assignee as provided in the Bidding Procedures.
