NOTICE OF SALE, SALE PROCESS AND TERMS, AUCTION, HEARING AND DEADLINES RELATING TO THE SALE OF PURCHASED ASSETS
PLEASE TAKE NOTICE that on October 22, 2025, the debtor and debtor-in-possession (collectively, the “Debtor”) in this case (the “Bankruptcy Case”), filed a Motion for Order Authorizing and Permitting Debtor to Sell Certain Personal Property Free and Clear of All Liens, Claims, and Interests Pursuant to Bankruptcy Code Section 363 and Bankruptcy Rule 6004 (the “Sale Process and Terms and Sale Motion”).1 Debtor entered into a contract to sell the Subject Property to Burr Ridge Financial Advisors, LLC (the “Stalking Horse”) subject to an Auction and competitive bidding as set forth in the Sale Process and Terms if Debtor receives a Qualified Bid.
PLEASE TAKE FURTHER NOTICE that, on December 22, 2025 the Bankruptcy Court entered an Order on Sale Process and Terms and Sale Motion Doc. No. 298 (the “Sale Process and Terms Approval Order”) that, among other things, approved the bidding procedures set forth in the Sale Process and Terms and Sale Motion (the “Sale Process and Terms”), which sets the key dates and times related to the sale of Debtor’s Subject Property. All interested bidders and parties in interest should carefully read the Sale Process and Terms. To the extent that there are any inconsistencies between the Sale Process and Terms and the summary description of its terms and conditions contained in this notice, the terms of the Sale Process and Terms shall control.
PLEASE TAKE FURTHER NOTICE that, pursuant to the Sale Process and Terms, Debtor must receive a Qualified Bid from interested bidders in writing, on or before January 30, 2026 at 4:00 p.m. (the “Overbid Deadline”). To be considered, bids must be sent to the following at or before the Overbid Deadline: (a) counsel for Debtor by email to [email protected]. Interested bidders may request a Bidder’s Package by email to Mari Voisine at [email protected].
PLEASE TAKE FURTHER NOTICE that, pursuant to the terms of the Sale Process and Terms, if Debtor receives one or more Qualified Bids (other than the Stalking Horse Bid) by the Overbid Deadline, the Auction will be conducted on February 3, 2026 at 10:00 a.m. (prevailing Eastern Time) at the Puckhaber Law Offices, or at such other place, date and time as may be designated by Debtor.
PLEASE TAKE FURTHER NOTICE that a hearing will be held to approve the sale of the Subject Property to the Stalking Horse or Successful Bidder at any Auction held by Debtor (the “Sale Hearing”) at the Bankruptcy Court on February 9, 2026 at 10:00 a.m. (prevailing Eastern Time), or at such time thereafter as counsel may be heard or at such other time as the Bankruptcy Court may determine. The Sale Hearing may be adjourned from time to time without further notice to creditors or parties in interest other than by announcement of the adjournment in open court on the date scheduled for the Sale Hearing. Objections to the sale of the Subject Property to the Stalking Horse or to the Successful Bidder must be filed and served so that they are received no later than February 5, 2026 by counsel for Debtor by email to [email protected].
PLEASE TAKE FURTHER NOTICE that Debtor is seeking to waive the fourteen-day stay period under Bankruptcy Rules 6004(h) and 6006(d) for the Sale to close immediately upon entry of the Sale Order by the Bankruptcy Court. PLEASE TAKE FURTHER NOTICE that this notice is subject to the full terms and conditions of the Sale Process and Terms and Sale Motion, the Sale Process and Terms Approval Order and the Sale Process and Terms, which shall control in the event of any conflict, and Debtor encourages parties in interest to review such documents in their entirety. A copy of the Sale Process and Terms and Sale Motion, the Stalking Horse Agreement, the Sale Process and Terms and the Sale Process and Terms Approval Order may be obtained (a) upon written request to Mari M.
