PUBLIC NOTICE OF UCC SALE: Microplastics, Inc.

NOTICE OF PUBLIC SALE OF COLLATERAL UNDER UNIFORM COMMERCIAL CODE

Pursuant to Section 5/9-610 of the Illinois Uniform Commercial Code (ILCS 5/9 § 9-610) and Section 400.9-610 of the Missouri Uniform Commercial Code (Mo. Ann. Stat. § 400.9-610), and (i) that certain Amended and Restated Credit and Security Agreement entered into as of December 1, 2023, and as may have been amended, restated, supplemented or otherwise modified from time to time, the “Credit Agreement”), by and between Microplastics, Inc., an Illinois corporation (the “Borrower”) and Aequum Capital Financial LLC, a Delaware limited liability company (the “Lender”); and (ii) that certain Guaranty, entered into as of November 18, 2022 (as amended, restated, supplemented or otherwise modified by that certain Reaffirmation of Guaranty and Security Agreement entered into as of December 1, 2023, and as may have been further amended, restated, supplemented or otherwise modified from time to time, the “Guaranty” and together with the Credit Agreement, the “Loan Documents”), by and between MPI St. Louis LLC f/k/a iPlastics, LLC, an Illinois limited liability company (“MPI STL”), IVP Plastics of Missouri, LLC, and Illinois limited liability company (“IVP”), for the benefit of the Lender, the Lender will sell its security interest in certain assets of Borrower, MPI STL, and IVP, as fully described in the Loan Documents, including ALL OF BORROWER’S RIGHT, TITLE, AND INTEREST IN THE FOLLOWING PROPERTY, WHETHER NOW OR HEREAFTER EXISTING, SOLELY TO THE EXTENT ACQUIRED, ARISING, AND EXCLUSIVELY RELATED TO, THE OPERATIONS LOCATED AT 10315 PAGE INDUSTRIAL BLVD, ST. LOUIS, MISSOURI 63132 AND 9910 PAGE AVE., ST. LOUIS, MO 63132: ALL ACCOUNTS (EXCLUDING ANY BANK ACCOUNTS, DEPOSITS, AND CASH), INVENTORY, EQUIPMENT, GOODS, AND GENERAL INTANGIBLES, AND ALL OF BORROWER’S BOOKS AND RECORDS RELATING TO ANY OF THE FOREGOING PROPERTY (the “Collateral”), at a public sale to be held on August 4, 2025 at 10:00 a.m. Central Time (the “Sale Date”) virtually hosted on Zoom.

The Collateral shall be offered for sale, at the discretion of the Lender, “as-is, where-is,” with no express or implied warranties, representations, statements or conditions of any kind including but not limited to warranties of merchantability or fitness for a particular purpose. Lender reserves the right to require potential bidders to demonstrate their ability to perform and close to the reasonable satisfaction of Lender. Lender reserves the right to credit bid for the Collateral and to increase any credit bid amount at the public sale. Any purchaser, other than the Lender, will be required to pay the purchase price via wire transfer on or before 5 p.m. Central Time on the Sale Date to the account designated by Lender at the conclusion of the public sale. The Lender reserves the right to adjourn the sale by giving notice at the time of sale and in such event said sale shall be continued to such date as the Lender may then announce without further notice other than oral announcement at the sale. The Lender reserves the right after completion of bidding to reject all bids. The purchaser will receive, upon payment of the purchase price, a bill of sale “as-is, where is” with no representations or warranties as to the value or condition of the Collateral, or as to the priority of its lien thereto.
