PUBLIC NOTICE OF UCC ARTICLE 9 SALE: Selux Diagnostics,Inc

NOTICE OF DISPOSITION OF COLLATERAL AT PUBLIC AUCTION –
SECTION 9-611 OF THE UNIFORM COMMERCIAL CODE FORECLOSURE SALE

Notice is hereby given that, in accordance with applicable provisions of the Uniform Commercial Code, as enacted and applicable within the state of Delaware and the state of New York, Oxford Finance LLC, a Delaware limited liability company (the “Secured Party”) intends to sell, at public auction, substantially all of the assets (the “Sale Collateral”) of Selux Diagnostics, Inc., a Delaware corporation (the “Debtor”), to the highest qualified bidder on or after August 21, 2025. The Sale Collateral will include, but is not limited to, all property of the Debtor, tangible and intangible, including but not limited to, all accounts; all contract rights; all accounts receivable; all chattel paper, documents, and instruments related to accounts; all intellectual property, inventory, furniture, fixtures, equipment, and supplies; and in each case, the proceeds, products, and accessions of and to any and all of the foregoing, that are subject to the lien of the Secured Party.

The public auction will take place at 12:00 p.m. Eastern time on such virtual web-based video conferencing and/or telephonic conferencing program as the Secured Party may so elect; provided, however, that the Secured Party reserves the right to cancel the public sale in its entirety, or to adjourn the public sale to a future date or time.

This sale is being held to enforce the Secured Party’s rights in the Sale Collateral as a result of the indebtedness of the Debtor to the Secured Party. The Secured Party may bid for some or all of the Sale Collateral and be the purchaser at the auction, and currently the Secured Party intends to credit bid all or a portion of its secured claim including costs, expenses and accruing interest. The Secured Party reserves the right to sell the Sale Collateral in a single lot or in multiple lots, by way of one or more contracts, and on such terms and conditions as are agreed upon between the Secured Party and any purchaser of the Sale Collateral. The Secured Party reserves the right to add to, withdraw or otherwise modify or amend in any respect whatsoever all or any portion of the Sale Collateral as being subject to the sale for any reason whatsoever.

The Sale Collateral will be sold “AS IS, WHERE IS,” “WITH ALL FAULTS,” and “WITHOUT ANY WARRANTIES WHATSOEVER, EXPRESSED OR IMPLIED, INCLUDING, WITHOUT LIMITATION, A WARRANTY OF MERCHANTABILITY OR FITNESS FOR ANY PARTICULAR OR OTHER PURPOSE,” and subject to taxes, special assessments and liens that have been levied or assessed, and/or are unpaid or unsatisfied (none of which will be paid by the Secured Party). The Sale Collateral is being sold without recourse to the Secured Party, its attorneys or representatives. The Secured Party does not claim title to the Sale Collateral and disclaims any warranty of title, possession, quiet enjoyment and the like in the sale. None of the Sale Collateral has been registered for sale under any federal or state securities or blue sky laws, and as such may not be sold or otherwise transferred by the Secured Party or a purchaser of any Sale Collateral except in accordance with applicable law.
