PUBLIC NOTICE OF UCC ARTICLE 9 SALE: Microplastics Inc

NOTICE OF PUBLIC SALE OF COLLATERAL UNDER UNIFORM COMMERCIAL CODE

Pursuant to Section 9-610 of the Illinois Uniform Commercial Code (810 ILCS 5/1-101 et seq.) and (i) that certain Credit Agreement dated as of September 12, 2019 (as may have been amended, restated, supplemented or otherwise modified from time to time, the “Credit Agreement”), by and between Microplastics, Inc., an Illinois corporation (“Borrower”), and Seabrook Capital Holdings, LLC (as successor-in-interest to MSI Capital Holdings, LLC, as successor-in-interest to BMO Harris Bank N.A.) (“Lender”), (ii) that certain Term Note dated as of September 12, 2019 (as may have been amended, restated, supplemented or otherwise modified from time to time, the “Term Note”), by Borrower in favor of Lender, (iii) those certain Guaranties dated as of September 12, 2019 (as may have been amended, restated, supplemented or otherwise modified from time to time, the “Guaranties”), by MPI-St. Louis LLC f/k/a iPlastics, LLC, an Illinois limited liability company (“MPI-STL”), and IVP Plastics of Missouri, LLC, an Illinois limited liability company (“IVP”, and together with Borrower and MPI-STL, “Obligors”), respectively, in favor of Lender, and (iv) those certain General Security Agreements dated as of September 12, 2019 (as may have been amended, restated, supplemented or otherwise modified from time to time, the “Security Agreements,” and together with the Credit Agreement, the Term Note, and the Guaranties, the “Loan Documents”), by and between Lender and each of Obligors, Lender will sell all of Obligors’ rights, title and interest in and to certain equipment located at 406 38th Ave., St. Charles, IL 60174, whether now or hereafter owned, existing, acquired or arising, as may be more fully described in the Loan Documents (the “Collateral”). A complete description of the Collateral may be obtained from Lender’s counsel at the contact information provided below. The Collateral will be sold at a public sale to be held on December 5, 2025 at 10:00 a.m. CST (the “Sale Date”) in person at the offices of Adelman & Gettleman, Ltd., 53 W. Jackson Blvd., Suite 1050, Chicago, Illinois, 60604, and hosted virtually on Zoom.

The Collateral shall be offered for sale, at the discretion of Lender, “as-is, where-is,” with no express or implied warranties, representations, statements or conditions of any kind including but not limited to warranties of merchantability or fitness for a particular purpose. Lender reserves the right to require potential bidders to demonstrate their ability to perform and close to the reasonable satisfaction of Lender. Lender reserves the right to credit bid for the Collateral and to increase any credit bid amount at the public sale. Any purchaser, other than Lender, will be required to pay the purchase price via wire transfer on or before 5:00 p.m. CST on the Sale Date to the account designated by Lender at the conclusion of the public sale. Lender reserves the right to adjourn the sale by giving notice at the time of sale and in such event said sale shall be continued to such date as Lender may then announce without further notice other than oral announcement at the sale. Lender reserves the right after completion of bidding to reject all bids. The purchaser will receive, upon payment of the purchase price, a bill of sale “as-is, where is” with no representations or warranties as to the value or condition of the Collateral, or as to the priority of its lien thereto.
