PUBLIC NOTICE OF UCC ARTICLE 9 SALE: 600 Partners and 777 Partners LLC’s

NOTICE OF UCC SALE

Public auction of all of 600 Partners LLC’s (“600 Partners”) and 777 Partners LLC’s (“777 Partners” and, together with 600 Partners, the “Debtors”) right, title, and interest in, to, and under: (a) that certain Loan Agreement by and between 777 Partners, as lender, and 1190 Sports Peru LLC, a Delaware limited liability company, as borrower; (b) all the equity interests in Chiller Island 1, LLC, a Delaware limited liability company; (c) that certain Sixth Amended and Restated Convertible Promissory Note issued by Flair Airlines LTD., a corporation existing under the laws of the Province of British Columbia (“Flair”); (d) all the equity interests in Flair; and (e) all the equity interests in England Holdings 3, Inc., a Delaware corporation (collectively, the “Auction Assets”).

Debtors advertise as a Miami-based private investment firm founded in 2015 that focuses on sectors like sports, media, aviation, insurance, and fintech. The Auction Assets are the equity interests in and/or payment obligations of a sports media licensing company, Canadian airline, and parent company to film and television studio and distributor.

1. Type of Procedure: A public auction (“Auction”) will be conducted pursuant to Section 9-610 of the Uniform Commercial Code (“UCC”), as adopted in the State of New York.

2. Name of the Secured Party: ACM Delegate LLC, as collateral agent (“Secured Party”), is the seller for the benefit of the lenders under a credit facility by and among Debtors, as borrowers, the other corporate guarantors, Secured Party and the lenders party thereto (“Secured Credit Facility”). Pursuant to the Secured Credit Facility, the Debtors have granted a security interest in all of the Auction Assets to the Secured Party to secure Debtors’ obligations under the Secured Credit Facility.

3. Assets Being Sold: the Auction Assets, in whole or in part, as defined above.

4. The nature of the business of the Company whose assets are being sold: Private investment company that focuses on sectors like sports, media, aviation, insurance, and
fintech.

5. Bidding: The Auction is a public sale available to qualified bidders in person and by videoconference as specified below. The winning bid(s) will be chosen in the Secured Party’s sole discretion. The Auction Assets will be transferred, in whole or in part, via a unit transfer power and/or bill of sale with no representations, no warranties (whether express or implied) and all Auction Assets will be sold “as-is, where-is, with all faults.”

6. Time/Date Sale: July 11, 2025, 10:00 AM ET, via zoom videoconferencing, access to which will be made available to qualified bidders, and in person, at the offices of Cadwalader, Wickersham & Taft LLP, 200 Liberty Street New York, NY 10281.
