PUBLIC NOTICE OF SECURED PARTY SALE: Mainstreet Pier, LLC

NOTICE OF DISPOSITION OF COLLATERAL

NAME OF DEBTOR(S): Mainstreet Pier, LLC, 18595 Mainstreet Parker, Colorado 80134

Independent Bank (“Secured Lender“) will sell the items described below on Schedule “A” including but not limited to, any interest of Mainstreet Pier, LLC (“Borrower“) therein, to the highest qualified bidder in public as follows (the “Public Sale”):

Day and Date: September 6, 2022.

Time:  3:00 p.m.

Place:  Markus Williams Young & Hunsicker LLC, Main Conference Room, 1775 Sherman Street, Suite 1950 Denver, CO  80203

THE SALE WILL BE CONDUCTED “AS IS”, “WHERE IS” AND “WITH ALL FAULTS”, AND WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND INCLUDING, BUT NOT LIMITED TO, THOSE PERTAINING TO TITLE, POSSESSION, QUIET ENJOYMENT OR THE LIKE, MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

Please be advised that Secured Lender reserves the right to cancel or postpone the Public Sale at any time or to cause the Public Sale to be adjourned from time to time. Secured Lender also reserves the right to sell the Collateral in lots or as a whole and reserves the right to withdraw particular items of property from the Public Sale.  Any adjournment or continuation of the Public Sale will be announced at the place and on the date of the Public Sale, either directly or indirectly through Secured Lender’s attorneys, nominees and/or assigns, and without the necessity of prior or subsequent written or published notice.

All bids must be made orally at the place of the Public Sale. Subject to the terms herein, the Collateral will be sold to the highest qualified bidder(s) for cash, or the credit against outstanding indebtedness held by Secured Lender or for which Secured Lender is entitled by contract or applicable law to bid. Each bid is merely an offer and is not binding unless accepted by Secured Lender. All offers must contain no contingencies that are unsatisfactory to Secured Lender, and all offers will be subject to such other or additional bid procedures as Secured Lender may establish or otherwise announce, either directly or indirectly through its attorneys, agents or assigns, from time to time. Please be advised that Secured Lender reserves the right to credit bid, and may credit bid, at the Public Sale, either directly or indirectly through Secured Lender’s attorneys, nominees and/or assigns, and to take title after the Public Sale through one or more designees, nominees or assigns. Secured Lender, or Secured Lender’s attorneys, nominees and/or assigns, as applicable, will be deemed to be a qualified bidder at, and for purposes of, the Public Sale.

You are entitled to an accounting of the unpaid indebtedness secured by the property that we intend to sell for a charge of $25.00.  You may request an accounting by calling us at the telephone number listed above or writing us at the address listed above.

SCHEDULE A – Description of Items to be Sold

The property to be sold includes, without limitation, the following property (“Collateral”) set forth in the UCC Financing Statement filed in the office of the Colorado Secretary of State on July 27, 2018 at Reception No. 20182067969 and which Collateral includes, but is not limited to the following:

All Equipment, Furniture, Fixtures, Inventory, Accounts, Accounts Receivables, Instruments, Chattel Paper, General Intangibles, and which items are primarily located on the property commonly described as the Ascent on Main which is known as a hotel property having an address of 18595 Mainstreet, Parker, Douglas County, Colorado 801324 and which Collateral includes, without limitation, all beds, mattresses, bedding, chairs, tables, dressers, televisions, telephones, computer equipment, office equipment, lighting, mirrors, artwork, window coverings, fitness equipment, restaurant equipment, kitchen equipment, refrigerators, safes and other personal property.  Please be advised that any liquor licenses owned by the Borrower are not included in the Public Sale.  A more detailed list of the Collateral being sold at the Public Sale can be obtained by contacting legal counsel for the Secured Lender at the address and phone number set forth on the forgoing first page of this Notice of Disposition of Collateral.
