On April 15, 2025 (the “Assignment Date”), Kojin Therapeutics Inc. executed the General Assignment for the Benefit of Creditors in favor of Kojin ABC, a Delaware Series Limited Liability Company (the “Assignee”). The Assignment is governed by Massachusetts law.
Pursuant to the Assignment, the Company transferred to the Assignee for liquidation all of the Company’s ownership of, and all of its rights and interests to and in, the Company’s tangible and intangible assets. The Assignee will, as appropriate, liquidate such assets and rights.
By way of background, Kojin Therapeutics launched in 2021 and attracted significant investments, including a $60 million Series A round. The company was headquartered in South Boston and was focused on developing new targeted therapeutics based on cell state and ferroptosis biology. They aimed to create medicines that either induced or inhibited ferroptosis, a type of iron-dependent cell death, to target cancer cells resistant to existing therapies and other diseases. The Company’s drug discovery platform integrated various techniques like computational chemistry and chemical biology to identify and develop therapeutics that modulate ferroptosis.
The Assignee is seeking a buyer for the Assignor’s assets relating to the Kojin® registered trademark, the proprietary research and patent applications for the GLCi and GPX4 Programs. The Assets will be sold on a “as-is, where-is” basis. The Assignee is currently in discussions with several interested parties and conducting due diligence.
