Overview

Certain assets of a confidential apparel business are being made available for sale in connection with an assignment for the benefit of creditors.

Additional information will be made available only to qualified interested parties that execute a non-disclosure agreement and satisfy applicable bidder qualification requirements.

Process

Interested parties must execute a non-disclosure agreement by June 22, 2026 to receive access to transaction materials.

Qualified parties may receive a form asset purchase agreement and related process instructions. Any offer must be submitted in the form requested by the Assignee or prospective assignee, including a redline to the asset purchase agreement and evidence of financial wherewithal.

Offers must be received no later than July 1, 2026 at 5:00 p.m. Pacific Time.

The Assignee or prospective assignee reserves the right, in its sole discretion, to reject any or all offers, modify the process, waive defects or irregularities, negotiate with any party, or select the offer it determines to be the highest or otherwise best offer.

The selected party must be prepared to close and fund the transaction on or before July 2, 2026.

Assets

The assets offered for sale may include intellectual property, digital assets, records, marketing-related materials, and other assets used in the business, in each case only to the extent transferable and included in the definitive transaction documents.

All assets will be sold on an “as-is, where-is” basis, with no representations or warranties except as expressly set forth in the definitive purchase agreement.
