Dealer Products, Inc.  www.dealpro.com, www.cliphouse.com,  a B2B distributor of auto hardware, top brand shop supplies & highly coveted proprietary performance chemicals & other automotive products to auto dealerships, body shops & collision repair shops, primarily throughout TX & OK via route in person sales model. Telemarketing & online DBA division distributes such products across the US & internationally.  Chapter 11 Bankruptcy Sale. In re Dealer Products, Inc.  Case number 22-41970-11. A motion to sell substantially all assets was filed on March 3, 2023, in the Northern District of Texas, Fort Worth division and subject to amendment. Debtor’s address 1122 W Carrier Parkway, Grand Prairie, TX 75050. All interested parties should carefully read the Bidding Procedures Order and the Bidding Procedures. PLEASE TAKE FURTHER NOTICE OF THE FOLLOWING INFORMATION AND IMPORTANT DEADLINES IN CONNECTION WITH THE SALE, WHICH DATES AND DEADLINES SUPERSEDE ANY DATES AND DEADLINES SET FORTH IN THE MOTION [DOCKET NO. 76] PREVIOUSLY FILED AND SERVED BY THE DEBTOR.

It is anticipated the following new dates are:

    • Bid Deadline – April 21, 2023
    • Lease Objection Deadline – May 1, 2023
    • Auction – On or before April 28, 2023
    • Deadline to Serve Notice of Successful Bidder and Successful Bidder’s Adequate Assurance Information – May 1, 2023
    • Sale Objection Deadline – No later than May 5, 2023
    • Deadline to Reply to Sale Objections – May 9, 2023
    • Sale Hearing – On or before May 12, 2023
  • The deadline to submit a bid for any Assets is April 21, 2023, at 5:00 p.m. (prevailing Central Time).
  • Any objections to the Sale or the relief requested in connection with the Sale (a “Sale Objection”), other than a Lease Objection, which shall be governed by the Assumption and Assignment Procedures, must: (a) be in writing; (b) comply with the Bankruptcy Rules and the Local Rules; (c) set forth the specific basis for the Sale Objection; (d) be filed with the Clerk of this Court, Eldon B. Mahon U.S. Courthouse, 501 W. 10th St., Fort Worth, TX 76102-3643, together with proof of service, on or before May 5, 2023, 5:00 p.m. (prevailing Central Time) no later than May 5, 2023 (the “Sale Objection Deadline”); and (e) be served, so as to be actually received on or before the Sale Objection Deadline, upon the Objection Notice Parties. The “Objection Notice Parties” are as follows: (i) counsel to the Debtor, Cantey Hanger LLP, Cantey Hanger Plaza, 600 West 6th Street, Suite 300, Fort Worth, Texas 76102 (Attn: M. Jermaine Watson, Esq.); (ii) counsel to Comerica Bank, Winstead PC, 500 Winstead Building, 2728 N. Harwood Street, Dallas, Texas 75201 (Attn: Annmarie Chiarello, Esq.); (iii) counsel to the Small Business Administration, Assistant United States Attorney, 1100 Commerce Street, Suite 300, Dallas, Texas 75242 (Attn: Donna K. Webb, Esq.); and (iv) the Office of the United States Trustee, Earle Cabell Federal Building, 1100 Commerce Street, Room 976, Dallas, Texas 75242 (Attn: Erin Schmidt, Esq.); and (v) counsel to the Successful Bidder, if any.
  • An auction for the Assets, unless cancelled or adjourned in accordance with the Bidding Procedures Order, will be held on or before April 28, 2023, at 10:00 a.m. (CT), at the offices of Cantey Hanger LLP, 600 West 6th Street, Suite 300, Fort Worth, TX 76102.
  • Unless adjourned in accordance with the Bidding Procedures Order, the Bankruptcy Court will conduct a hearing (the “Sale Hearing”) to consider the Sale on or before May 12, 2023, at 10:00 a.m. (prevailing Central Time)

PLEASE TAKE FURTHER NOTICE THAT IF A SALE OBJECTION IS NOT FILED AND SERVED ON OR BEFORE THE SALE OBJECTION DEADLINE IN ACCORDANCE WITH THE ENTERED BIDDING PROCEDURES ORDER, THE OBJECTING PARTY SHALL BE BARRED FROM OBJECTING TO THE SALE AND SHALL NOT BE HEARD AT THE SALE HEARING, AND THE BANKRUPTCY COURT MAY ENTER THE SALE ORDER WITHOUT FURTHER NOTICE TO SUCH PARTY.
