PUBLIC NOTICE is hereby given that Phillips Total Care Pharmacy, Inc. (“Company”) will offer a 100% shareholder interest in the Company for sale at auction on Thursday, October 9, 2026, at 9:00 a.m. Central Time.
I. AUCTION PROCEDURES
Qualified Bidder Requirements. Anyone may submit a competing bid and participate in the auction, provided they first become a qualified bidder (“Qualified Bidder”). The requirements to become a Qualified Bidder shall include:
Qualified Bidder Deadline. The deadline for a purchaser to become a Qualified Bidder is September 25, 2026 (“Qualified Bidder Deadline”), in order to permit diligence by any such party interested in participating in the Auction. Interested parties who wish to become Qualified Bidders shall have until the Qualified Bidder Deadline to review the disclosure statement, proposed plan of reorganization, Schedules, Statement of Financial Affairs, and Monthly Operating Reports.

Conduct of Auction. If there are other Qualified Bidders, other than the current owner of the Company, then the Company shall conduct a live auction (in person and via Zoom) of the New Equity at the offices of its counsel, Richman & Richman LLC, at 122 West Washington Avenue, Suite 850, Madison, WI 53703. The auction shall occur on October 9, 2026, at 9:00 a.m. Central Time. The first bid of a Qualified Bidder, other than the current owner of the Company shall be at least $25,000. Thereafter, bids must exceed prior bids by at least $5,000.
Highest and Best Bid. Bids shall be in cash only, and the New Equity will be sold only in its entirety to a sole bidder. The highest and best bid shall be the bid of a Qualified Bidder that is the highest at the end of the Auction. At the conclusion of the Auction, the Company, subject to the Bankruptcy Court’s approval, shall determine (i) which bid constitutes the highest or best offer (the “Winning Bid”); and (ii) the next highest or best bid (the “Back-Up Bid”).
