PUBLIC NOTICE OF UCC ARTICLE 9 SALE: 777 Partners LLC

Notice of UCC Sale

Public auction of all right, title, and interest in and to that certain Secured Promissory Note dated as of November 18, 2022 (the “Note”) in the original principal amount of $9,000,000, payable by A-Miami LLC, a Delaware limited liability company (“A-Miami”) to the order of 777 Partners LLC, a Delaware limited liability company (“Debtor”).

The Note is secured by certain real and personal property (collectively, the “Collateral”) including that certain Real Estate Mortgage dated as of November 18, 2022 (the “Mortgage”), executed by A-Miami, as mortgagor, in favor of Debtor, as mortgagee, and recorded on November 22, 2022 as CFN 20220884341, Book 33476, Page 859, of the Public Records of Miami-Dade County, Florida.

The Note, and the rights thereunder and related thereto, including without limitation, the rights in and to the Collateral are referred to collectively as the “Auction Assets”.

The Debtor purported to assign the Note and Mortgage to Newport Funding LLC (“Newport”). Newport has commenced a state foreclosure action with respect to the Mortgage and has stated in court filings that it does not have possession of the original Note. Regardless of the purported assignment and foreclosure action, it is the position of the Secured Party that it has a first-priority security interest in the Auction Assets.

1. Type of Procedure: A public auction (“Auction”) will be conducted pursuant to Section 9-610 of the Uniform Commercial Code (“UCC”), as adopted in the State of New York.

2. Name of the Secured Party: ACM Delegate LLC, as collateral agent (“Secured Party”), is the seller for the benefit of the lenders under a credit facility by and among Debtor, 600 Partners LLC, a Delaware limited liability company (“600 Partners”), as borrowers, the other corporate guarantors, Secured Party and the lenders party thereto (“Secured Credit Facility”). Pursuant to the Secured Credit Facility, the Debtor has granted a security interest in all of the Auction Assets to the Secured Party to secure Debtor’s obligations under the Secured Credit Facility.

3. Asset(s) Being Sold: the Auction Assets, as defined above.

4. The nature of the business of the Company whose assets are being sold: Private investment company.

5. Bidding: The Auction is a public sale available to qualified bidders in person and by videoconference as specified below. The winning bid will be chosen in the Secured Party’s sole discretion. The Auction Assets will be transferred via an assignment agreement with no representations, no warranties (whether express or implied) and all Auction Assets will be sold “as-is, where-is, with all faults.

6. Time/Date Sale: May 22, 2026, 10:00 a.m. Central time, via zoom videoconferencing, access to which will be made available to qualified bidders, and in person, at the offices of Croke Fairchild Duarte & Beres LLC, 180 N LaSalle Street, Suite 3400, Chicago, IL 60601.
