PUBLIC NOTICE OF ABC SALE: American Energy Storage Innovations Inc.

Sale of Intellectual Property – American Energy Storage Innovations Inc.

On May 12, 2025 (the “Assignment Date”), American Energy Storage Innovations Inc. (“AESI”) executed the General Assignment for the Benefit of Creditors in favor of AESI ABC, a Delaware Series Limited Liability Company (the “Assignee”). The Assignment is governed by Massachusetts law.

Pursuant to the Assignment, the Company transferred to the Assignee for liquidation all of the Company’s ownership of, and all of its rights and interests to and in, the Company’s tangible and intangible assets. The Assignee will, as appropriate, liquidate such assets and rights.

By way of background, American Energy Storage Innovations originated in September 2023 as a spin-out from American Battery Solutions’ Energy Storage Solutions division. The company was headquartered in Hudson, MA and was concentrated on developing its fifth-generation flagship system, TeraStor™—a factory-packaged, ultra-high-density battery energy storage solution built from proprietary LFP (lithium iron phosphate) cells and featuring advanced liquid cooling, wireless BMS, UL9540 safety certification, and modular power conversion architecture. TeraStor’s design emphasizes rapid, six-hour commissioning, reliability through simplified architecture, and strong safety measures like cell-level thermal runaway prevention.

The Assignee is seeking a buyer for the Assignor’s assets relating to proprietary research and development, patent applications for the architecture and hardware, and registered trademarks. The Assets will be sold on a “as-is, where-is” basis. The Assignee is currently in discussions with several interested parties and conducting due diligence.
