NOTICE OF PROPOSED SALE OF ASSETS OF WINDWARD DESIGN GROUP, INC.

NOTICE IS HEREBY GIVEN that WINDWARD DESIGN GROUP, INC., as debtor and debtor in possession (“Debtor”) in Case No. 8:25-bk-00780, has sought the approval of the United States Bankruptcy Court for the Middle District of Florida, Tampa Division (“Bankruptcy Court”), for the sale of substantially all of its assets (the “Sale”).

On February 14, 2025, the Debtor filed with the Bankruptcy Court a motion (“Bid Procedures Motion”) seeking among other things, approval by the Bankruptcy Court of a process for the Debtor to sell substantially all of its assets. The Debtor has accepted a purchase offer submitted by Superior Plastic Products, Inc. (“Purchaser”), to purchase the Purchased Assets, less the Excluded Assets and Rejected Contracts, for the sum of $1,100,000.00 (“Purchase Price”). The Purchaser will not assume any liabilities except for the Assumed Liabilities.

The Bankruptcy Court has approved certain bidding procedures in connection with the Sale (the “Bidding Procedures”). The Purchaser is the court-approved stalking horse with the Purchase Price as the approved stalking horse bid (“Stalking Horse Bid”). Bid increments shall be at least $25,000 over and above the Stalking Horse Bid (“Competing Bid”).

The Debtor is a 30-year-old, family-owned and operated business that designs and manufactures high-quality, handcrafted outdoor furniture and cushions supplied to retailers across Florida. Further information on the Debtor’s business is available upon request.

An auction (“Auction”) to consider any Competing Bids for the Purchased Assets will be held on March 25, 2025 at 10:00am EST at Berger Singerman LLP, 401 E. Jackson St., Suite 3300, Tampa, Florida 33602, or other similar location in Tampa provided at least 24 hours before the Auction, if one or more Competing Bids are received by the bid deadline of March 21, 2025.The Bankruptcy Court will conduct a hearing to consider approval of the Sale Motion, the results of the Auction, if any, and to consider any timely-filed objections thereto, at the Bankruptcy Court, on March 27, 2025 at 2:30pm EST.
