NOTICE OF SECURED PARTY PUBLIC AUCTION: Alex Toys, LLC, Poof Slinky, LLC, et al.

NOTICE IS HEREBY GIVEN that Glenn J. Krevlin, Trustee of Glenn J. Krevlin Revocable Trust dated July 25, 2007, as Administrative Agent (in such capacity, “Agent”) for the Lenders under that certain Term Loan Credit Agreement, dated as of June 30, 2014 (as amended, restated, renewed, extended, substituted, supplemented and otherwise modified from time to time, the “Credit Agreement”), will offer for sale at public auction the following property of Alex Toys, LLC, a Delaware limited liability company, and Poof-Slinky, LLC, a Michigan limited liability company: (i) all present and future patents and patent license rights, trademarks and trademark license rights, copyrights and copyright license rights, trade secrets and processes and other Intellectual Property; (ii) all present and future machinery and other Equipment, real Property (whether owned or leased), Fixtures, Financial Assets, Investment Property and Commercial Tort Claims, (iii) Chattel Paper, Documents and Instruments; (iv) General Intangibles (other than Working Capital General Intangibles) and other contract rights, including any indemnification rights and Customer Contracts; (v) all books and records relating to the foregoing; and (vi) all identifiable Proceeds (including, without limitation, insurance proceeds (including insurance proceeds from business interruption insurance)) and products of the Property and assets described in the foregoing clauses (i) through (iv). Capitalized terms used herein without definition have the meanings ascribed thereto in the Credit Agreement.

The public auction will take place beginning on May 12, 2020, at 10:30 a.m. Eastern Time (New York) at the offices of Ellenoff Grossman & Schole LLP, 1135 Avenue of the Americas, 11th Floor 10105 (or by telephone conference call with dial-in instructions to be provided). All interested prospective purchasers are invited to become Qualified Bidders. Only Qualified Bidders will be permitted to attend the public auction.
