PUBLIC NOTICE OF UCC ARTICLE 9 SALE: Ambrosia, LLC

NOTICE OF AUCTION ADVISORS’ PUBLIC AUCTION SALE OF MEMBERSHIP INTERESTS IN AMBROSIA LLC ON BEHALF OF SECURED PARTY

UNDER ARTICLE 9 OF THE UNIFORM COMMERCIAL CODE

PLEASE TAKE NOTICE that on May 12th, 2026, starting at 11:00AM Eastern Time, Auction Advisors, as Auctioneer, on behalf of Loan Originations LLC, a Delaware limited liability company (“Secured Party”), will offer for sale at a public auction under the Uniform Commercial Code the following two lots in consecutive order:

(i) LOT #1: 95% of the limited liability company membership interests (the “95% Membership Interests”) in: AMBROSIA LLC, a New York limited liability company (the “Borrower”).

(ii) LOT #2: 5% of the limited liability company membership interests in the Borrower (the “5% Membership Interests”, and together with the 95% Membership Interests, the “Membership Interests”).

Secured Party’s understanding (made without any representation or warranty as to the accuracy or completeness of the following matters) is that the Borrower is the beneficial owner of the real property, and improvements thereon, located at 1512-1514 Washinton Ave., Bronx NY 10457.

Desmond Ellington (“Ellington”) is the current owner of the 95% Membership Interests and Kevin Blake (“Blake,” and together with Ellington, “Guarantors”) is the current owner of the 5% of the Membership Interests. To secure their obligations to Secured Party, among other actions, the Guarantors pledged to Secured Party a first-priority, perfected security interest in and to their respective Membership Interests. Guarantors shall be held personally responsible for the deficit in the event the auction proceeds do not exceed the outstanding debt owed to the Secured Party and Guarantors shall be entitled to any surplus in the event the auction yields proceeds that exceed the amount owed to the Secured Party.

The sale will be conducted virtually via online video conference. Secured Party is and shall be a qualified bidder and shall be allowed to credit bid amounts due and owing to it by Guarantors in connection with any bids it may make with respect to the Membership Interests.

Qualified bidders shall be required to post a $100,000.00 good faith deposit no later than NOON Eastern Time on May 11, 2026, which deposit will be required to be promptly increased to twenty five percent (25%) of the successful bid by the successful bidder on or prior to NOON Eastern Time on May 13, 2026. Secured Party shall not be required either to post a good faith deposit or to increase its deposit as aforesaid.

The sale will be FINAL and on an “AS-IS, WHERE IS, WITH ALL FAULTS” basis and will be made WITHOUT REPRESENTATION OR WARRANTY WHATSOEVER. The Membership Interests are unregistered securities under the Securities Act of 1933, and as such are subject to certain transfer restrictions. Lot # 1 and Lot #2 will each be sold as a separate lot.

Secured Party reserves the right to establish all bidding procedures and requirements and to have prospective bidders reasonably demonstrate to the satisfaction of Secured Party that they are qualified investors and their ability to perform and close on the acquisition of the Membership Interests. Secured Party reserves the right to credit bid at the sale. Secured Party also reserves the right to adjourn, continue, or cancel the sale without further notice. Certain additional but limited information available to Secured Party regarding the Borrower will be made available via a secure data room to prospective bidders who execute a non-disclosure agreement.
