PUBLIC NOTICE OF ASSET SALE: Designer Furniture Company

AUCTION OF ASSETS OF Confidential Company

  1. Offer Deadline. August 19, 2022 at 5:00 pm Pacific Time.
  2. NDA Deadline. August 5, 2022
  3. Background. The Confidential Company develops, produces, and sells designer furniture and related goods to consumers, architects, interior designers and contract dealers. Manufacturing is largely domestic.

The Company is the subject of an assignment for the benefit of creditors.

  1. Process Overview.
    1. The prospective Assignee will provide a form asset purchase agreement (“APA”) to interested parties who have executed a non-disclosure Agreement (“NDA”) by the NDA Deadline.
    2. Letters of Intent in the form of a redline to the APA (containing the additional information as may be required by the prospective Assignee) must be received no later than the Bid Deadline.
    3. The winning bidder will be selected and notified by the prospective Assignee on August 22, 2022.
    4. The selection of the winning bidder is in the prospective Assignee’s absolute discretion.
    5. The winning bidder must be prepared to close and fund the purchase by August 25, 2022.
  2. Assets to be Sold. The prospective Assignee will sell all of the prospective Assignee’s rights in the Company’s tangible and intangible property, including, but not limited to: Inventory, Trademarks, URL’s, Customer Lists, Social Media Networks (Facebook, Instagram, YouTube, Branding Collateral (graphics and verbiage), Trade Secrets, Research and Development, and Marketing Material.
