Longer is Better When it Comes to UCC-1 Filings

Collateral descriptions are often long and detailed, so it’s not uncommon to refer to the description as filed in a separate document by “incorporating by reference” that separate document into the UCC-1. However, not all courts view this as okay. Thomas Egan, Of Counsel at L&G Law Group LLP, lays out the problem and the cure in “Incorporation by Reference in UCC-1 Fillings.”
