Bankruptcy Gifts: How They Work and How to Properly Structure Them

Assume you have a first priory lien on all of a chapter 11 debtor’s assets. Assume further that you are owed $50 million, all the debtor’s assets sell in bankruptcy for $25 million, that there is a junior secured lender who is owed $10 million, and that trade creditors are owed $5 million. In the context of a chapter 11 plan you want to let the trade creditors have $5 million of what would otherwise be distributed to you despite the fact that the junior secured creditor will get nothing.
