PUBLIC NOTICE OF INTELLECTUAL PROPERTY SALE: Ambri LLC

Sale of Intellectual Property – Ambri LLC.

On August 21, 2025 (the “Assignment Date”), Ambri LLC. (“Assignor”) executed the General Assignment for the Benefit of Creditors in favor of Ambri ABC, a Delaware Series Limited Liability Company (the “Assignee”). The Assignment is governed by Massachusetts law.

Pursuant to the Assignment, the Company transferred to the Assignee for liquidation all of the Company’s ownership of, and all of its rights and interests to and in, the Company’s tangible and intangible assets. The Assignee will, as appropriate, liquidate such assets and rights.

By way of background, founded in 2010 as a spin out of liquid-metal battery research at MIT, Ambri LLC was an energy storage company that developed liquid metal batteries designed for long-duration grid-scale energy storage. The technology enabled reliable and cost-effective storage of renewable energy, helping to stabilize power grids and support the global transition to sustainable energy systems.

The Assignor’s equipment is now up for auction, and can be viewed via the link here: https://bid.hgpauction.com/auctions/9443/herita10326?primaryCategoryCode=COV and includes SEMs, gloveboxes, IT equipment, XRF (Brunker) scanners, gauges and IQC tools, sonicating equipment, braze furnaces, and more. The auction will open on Nov 4th, and close on Nov 5 th .

The Assignee is also seeking a buyer for the Assignor’s assets relating to proprietary research and development, patent applications for the architecture and hardware, and registered trademarks. The Assets will be sold on a “as-is, where-is” basis. The Assignee is currently in discussions with several interested parties and conducting due diligence.
